Acceptance of Terms
By accessing and using the Aqoryn platform (the "Platform"), website, services, and any related applications (collectively, the "Service"), you agree to be bound by these Terms of Service (these "Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and possess the legal authority to enter into this agreement. If you do not meet these requirements, you are prohibited from using the Service.
Nature of Service; Educational Purpose Only
Aqoryn, LLC ("Aqoryn," "we," "us," or "our") operates an AI-enhanced educational platform designed to assist law school students (1L through 4L) and bar examination candidates from all 50 states and the District of Columbia in preparing for law school exams and bar examinations.
The Service includes the following educational features and tools:
- Qendrixa AI Study Coach: An artificial intelligence-powered personalized study assistant powered by the Anthropic Claude API that provides tailored study recommendations, progress analysis, and learning guidance.
- MBE-Style Practice Questions: Original multiple-choice questions with comprehensive IRAC (Issue, Rule, Application, Conclusion) explanations designed to mirror the format and rigor of the Multistate Bar Exam.
- Essay Practice and Feedback: Tools for drafting practice essays with AI-generated detailed feedback on analysis, writing quality, and legal reasoning.
- Cold-Call Simulator: An interactive tool simulating law school classroom cold-calling scenarios to build rapid analysis and communication skills.
- Drafting Lab: Guided drafting exercises and AI feedback for developing legal writing and document drafting competency.
- AI-Generated Micro-Lesson Videos: Short educational video lessons created with AI technology to explain legal concepts and exam-relevant topics.
ALL CONTENT PROVIDED BY THE SERVICE IS EDUCATIONAL MATERIAL ONLY AND IS NOT LEGAL ADVICE.The Service is designed to help you study and prepare for law school exams and bar examinations. It is not intended to, and does not, provide legal representation, legal advice, or guidance on how to handle specific legal matters or client situations.
No Attorney-Client Relationship
Nothing on the Service creates, establishes, or implies an attorney-client relationship between you and Aqoryn, any of its personnel, or any AI system used by the Service. Aqoryn is not a law firm and does not provide legal representation, legal advice, or legal services of any kind.
The information, explanations, and feedback provided by the Service, including AI-generated content, case law summaries, and practice question explanations, are for educational study purposes only. They are not legal advice and should not be relied upon as such.
If you require legal advice or representation regarding any actual legal matter, dispute, transaction, or controversy, you must consult with a qualified, licensed attorney in your jurisdiction who can review your specific circumstances and provide appropriate legal counsel.
AI-Generated Content Disclaimer
The Service incorporates artificial intelligence technology, including the Anthropic Claude API, to power several core features including the Qendrixa AI study coach, Case Brief Generator, Cold-Call Simulator, essay feedback and analysis, and personalized study recommendations. The Service's AI-generated legal content is grounded in verified legal databases and authenticated primary legal sources to provide substantive legal accuracy for educational purposes.
AI-generated content may contain errors, inaccuracies, omissions, or false information.Artificial intelligence systems, even advanced ones, can produce "hallucinations"—confident statements that are factually incorrect. This applies specifically to:
- Incorrect case citations or case names
- Inaccurate case dates or holding dates
- Mischaracterizations of legal rules or doctrines
- Omissions of important case law or statutory authority
- Incorrect statutory citations or statutory text
- Misrepresentation of current law in any jurisdiction
You are solely responsible for independently verifying all AI-generated contentagainst official sources, including but not limited to:
- Official case reporters (e.g., U.S., F.3d, regional reporters)
- Primary legal sources (statutes, regulations, official court filings)
- Westlaw and LexisNexis (if you have access)
- Official court websites and databases
- State bar association publications and official materials
Aqoryn grounds AI-generated legal content in verified legal databases and authenticated primary legal sources,including comprehensive caselaw repositories with direct access to thousands of official court opinions, authenticated statutory texts, and authoritative legal authorities — ensuring AI-generated content is grounded in legitimate primary legal authority.
However, the Service's AI is trained on data current as of its training date and cannot access real-time updates, the most recent court filings, very recent decisions, or the latest statutory amendments. You must verify all information against current, authoritative sources before relying on it for exam preparation or any other purpose.
Every AI-generated response on the Platform carries a "Verification Shield" disclaimer reminding users that AI content may be inaccurate and must be independently verified. Your use of the Service constitutes acknowledgment and acceptance of this risk.
Account Registration and Eligibility
To use certain features of the Service, you may be required to create an account and provide certain personal information. You must be at least 18 years of age to register for an account.
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Keep your account credentials (username, password) confidential and secure
- Be solely responsible for all activities that occur under your account
- Notify Aqoryn immediately of any unauthorized access to your account
You may maintain only one active account per person. Creating multiple accounts is prohibited and may result in immediate account termination.
You represent and warrant that you are either:
- Currently enrolled in an accredited law school or law program, OR
- A graduate of an accredited law school or law program, OR
- Actively preparing to take a bar examination in any U.S. state or jurisdiction
Aqoryn reserves the right to verify your eligibility at any time. Aqoryn also reserves the right to suspend or terminate your account immediately, without notice or refund, if it determines that you have violated these Terms, provided false information, or are using the Service for any purpose other than legitimate law school or bar exam preparation.
Subscription Plans and Billing
Aqoryn offers the following subscription tiers:
- Free Trial: $0/month—limited features, 10 MBE-style practice questions (Contracts only), no credit card required
- Student Pro: $19/month—mid-level access to questions, essay practice, and AI tools
- Bar Warrior: $49/month—comprehensive access including full question banks, all AI features, cold-call simulator, drafting lab, and eligibility for the Pass Guarantee Program
- Elite: $79/month—premium tier with priority support, personalized coaching, early access to new features, and eligibility for the Pass Guarantee Program
Billing and Payment: All subscription payments are processed securely through Stripe, a third-party payment processor. Aqoryn does not store your credit card numbers directly. Stripe handles all payment processing, data security, and PCI compliance.
Subscriptions renew automatically on a monthly basis unless cancelled. By subscribing, you authorize Aqoryn to charge your payment method on a monthly recurring basis at the current subscription price.
Cancellation and Refunds: You may cancel your subscription at any time via your account dashboard without penalty or explanation. Cancellation takes effect at the end of your current billing period. Aqoryn does not provide pro-rated refunds or credits for partial months of service.
Price Changes: Aqoryn reserves the right to change subscription pricing at any time. If Aqoryn materially changes pricing, you will be notified at least 30 days in advance via email or in-platform notice. Continued use of the Service after the 30-day notice period constitutes your acceptance of the new pricing.
Annual billing options may be available for select subscription tiers. Annual plans are subject to the same terms as monthly plans unless otherwise specified.
Free Trial
Aqoryn offers a Free Trial subscription tier ($0/month) with limited features designed to allow prospective users to evaluate the Service. The Free Trial includes:
- Access to 10 MBE-style practice questions (Contracts subject matter only)
- Full IRAC explanations for all practice questions
- Limited access to basic educational resources
The Free Trial requires no credit card to access. No automatic charges will be applied when the Free Trial expires. The Free Trial is intended solely for evaluation purposes and does not constitute a commitment to purchase a paid subscription.
Users may upgrade from the Free Trial to any paid subscription tier at any time. Once upgraded, the Free Trial limitations no longer apply, and standard billing terms apply to the new subscription tier.
Pass Guarantee Program
Eligibility: The Pass Guarantee Program is available exclusively to Bar Warrior ($49/month) and Elite ($79/month) tier subscribers. This program offers a conditional guarantee regarding bar examination performance.
Program Terms: If you:
- Maintain an active Bar Warrior or Elite subscription for at least 4 consecutive months immediately prior to your scheduled bar examination date, AND
- Complete 100% of the assigned state-specific question bank on the Platform, AND
- Achieve an Exam Readiness Score of 70% or higher on your final diagnostic assessment
…and you do not pass the bar examination on your first attempt, then you will receive 3 additional months of free access to the Platform at your current tier level (Bar Warrior or Elite). This is provided as additional study support for your bar exam retake.
What the Pass Guarantee Does NOT Include: The Pass Guarantee is NOT a cash refund, credit, discount, or reimbursement. The guarantee applies only to the provision of 3 additional months of Platform access. Aqoryn does not refund subscription fees, provide financial compensation, or offer any remedy other than the specified additional access.
Claiming the Pass Guarantee: To claim the Pass Guarantee benefit, you must provide Aqoryn with an official Notice of Results or official score report from the National Conference of Bar Examiners (NCBE) or your jurisdiction's bar admissions authority, demonstrating that you did not pass the exam. This documentation must be provided to support@aqoryn.com within 30 days of receiving your official results.
Aqoryn reserves the right to verify your eligibility, including confirmation of subscription status, completion of required study materials, and achievement of the required Exam Readiness Score. Full terms and conditions of the Pass Guarantee Program are set forth in the Refund Policy (available at [refund policy link]).
Intellectual Property
All content provided on the Service, including without limitation all practice questions, IRAC explanations, "Why Wrong" analyses for incorrect answers, study guides, essay model answers, AI system prompts, micro-lesson videos, AI-generated educational materials, the Qendrixa brand and logo, and all other educational content, are the exclusive intellectual property of Aqoryn, LLC.
Original Content Guarantee: All MBE-style practice questions on the Platform are 100% original educational content created by Aqoryn. These questions are NOT reproduced from, adapted from, or derived from official NCBE materials, commercial bar prep providers (including Barbri, Themis, Kaplan, Quimbee, AdaptiBar, or UWorld), or any other source. Each question and explanation is proprietary to Aqoryn.
Permitted Use: You are granted a limited, non-exclusive, personal license to access and use the content for your own individual study and exam preparation purposes only.
Prohibited Uses: You may NOT:
- Reproduce, copy, or duplicate any content from the Service
- Screenshot, screen-record, or transcribe content for distribution to others
- Share, distribute, sell, or sublicense content to any other person, organization, or entity
- Reverse-engineer, decompile, disassemble, or attempt to extract the underlying AI prompts, training data, or algorithms
- Use content to create competing educational platforms, question banks, or study tools
- Commercially exploit the content in any form, including selling access, offering tutoring services based on Platform content, or republishing content
- Modify, adapt, or create derivative works from the content
User-Generated Content: You retain full ownership of any content you personally create and submit through the Service, including typed answers, practice essays, drafting lab responses, cold-call simulator responses, notes, and study plans. Aqoryn does not claim ownership of your submitted essays or other user-generated content.
License Grant for Platform Improvement: By submitting content to the Service, you grant Aqoryn a worldwide, royalty-free, non-exclusive license to use, analyze, and aggregate that content solely for the purposes of: (a) providing you with AI-generated feedback, grading, and recommendations; (b) improving the accuracy and quality of our AI features and educational content; and (c) generating anonymized, aggregated analytics about platform usage. Aqoryn will not publicly identify you with your submitted content, sell your submissions to third parties, or use your essays or written work as training data for AI models. You may request deletion of all your submitted content at any time by contacting support@aqoryn.com.
Unauthorized reproduction or distribution of Aqoryn's content may constitute copyright infringement, breach of contract, and unfair competition, and you may face legal liability.
Prohibited Conduct
You agree not to engage in any of the following prohibited conduct while using the Service:
- Web Scraping and Automated Access: Use bots, scrapers, crawlers, automated tools, or scripts to extract, download, or harvest content from the Service
- Reverse Engineering: Attempt to reverse-engineer, decompile, disassemble, or analyze the AI systems, training data, prompts, or underlying algorithms
- Unauthorized Access: Attempt to gain unauthorized access to any system, account, or restricted area of the Service
- Account Credential Sharing: Share your account username, password, or login credentials with any other person, or allow another person to access your account
- Content Redistribution: Reproduce, distribute, transmit, display, or republish any content or materials from the Service to any third party
- Unlawful Use of Content: Use Platform content to provide actual legal advice to clients, law firms, or any third party; the Service is for your personal exam preparation only
- Impersonation of Official Materials: Misrepresent Platform content as official NCBE materials, official bar exam materials, or materials endorsed by any bar association or official body
- Interference with Service: Interfere with, disrupt, or attempt to compromise the security, integrity, or normal operation of the Service or its servers
- Unlawful Purpose: Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose, or in violation of any applicable law, regulation, or court order
Violation of any of these provisions may result in immediate suspension or termination of your account and may expose you to civil and criminal liability.
Content Accuracy and No Warranties
Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without representations, warranties, or conditions of any kind, express or implied. Aqoryn disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, error-free, or secure
- Any warranty regarding the accuracy, completeness, or reliability of any content or information
Aqoryn does not guarantee:
- That the Service will operate without interruption, errors, bugs, or technical problems
- That all advertised or previously available content will remain permanently available on the Platform
- That all features or functionalities will be available in all subscription plans or in all jurisdictions
- That features marked "Coming Soon" will launch on any particular timeline, or will launch at all
- That AI-generated content, explanations, or recommendations are accurate, complete, or legally correct
- That using the Platform will result in your passing any law school exam, bar examination, or other assessment
Modification and Removal of Content: Aqoryn reserves the right at any time and in its sole discretion to:
- Modify, update, or replace any content on the Service
- Add, remove, or discontinue any features, functionality, or subscription tier
- Change subscription pricing, plan features, or availability
- Remove content or features due to copyright concerns, accuracy issues, or any other reason
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AQORYN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Academic failure, law school exam failure, or failure to achieve a particular academic outcome
- Failure to pass any bar examination in any jurisdiction, or professional consequences arising from such failure
- Professional discipline, disbarment, or loss of licensure
- Loss of income, lost business opportunities, or lost employment
- Damage to professional reputation or career consequences
- Reliance on AI-generated content that proves to be inaccurate or contains errors
- Loss of data, corruption of data, or data breaches
- Unauthorized access to your account or misuse of your credentials
- Interruption, suspension, or termination of Service
- Any other loss, damage, or injury arising from your use or inability to use the Service
Cap on Liability: To the maximum extent permitted by law, Aqoryn's total aggregate liability for any and all claims arising from or related to your use of the Service, regardless of the legal theory (contract, tort, strict liability, or otherwise), shall not exceed the total amount of fees you paid to Aqoryn in the 12 months immediately preceding the event giving rise to the claim. If you have paid no fees (e.g., you used only the Free Trial), Aqoryn's liability is limited to zero.
Some jurisdictions do not permit the disclaimer or limitation of certain types of liability, such as liability for gross negligence or intentional misconduct. In such jurisdictions, the liability limitations may not apply to the fullest extent, but Aqoryn's liability will be limited to the maximum extent permitted by law.
Rankings, Analytics, and Performance Indicators
The Service provides various metrics, analytics, and performance indicators including progress tracking, percentile estimates, Exam Readiness Scores, weak-area alerts, study sequencing recommendations, and leaderboard data based on comparative performance.
All such metrics are provided for informational and motivational purposes only.You understand and acknowledge that:
- These metrics are NOT official academic rankings, law school performance standings, or bar admissions determinations
- Percentile estimates are based on the Platform's proprietary algorithm and internal user data, NOT on official bar exam pass rates, law school grade distributions, or official performance standards
- Exam Readiness Scores are predictive estimates only and do not guarantee any particular bar exam outcome
- Progress metrics and study recommendations are algorithmically generated and may not reflect the actual expertise, knowledge, or readiness of individual users
- Leaderboard rankings and comparative analytics are based solely on Platform activity and performance on Platform questions, which may not correlate with actual bar exam performance
- Aqoryn's methodology for calculating metrics may be revised, updated, or changed at any time without notice
- Global ranking features require a statistically significant user base for validity and may produce unreliable results if user volume is insufficient
You should not rely on these metrics as predictors of bar exam success, law school performance, or professional outcomes. Such metrics are tools for self-assessment during study and are provided in the spirit of motivation and engagement, not as validated psychometric instruments.
Third-Party Marks and No Affiliation
The Service may reference, discuss, or compare itself to third-party brands and marks, including but not limited to: NCBE® (National Conference of Bar Examiners), NextGen Bar Exam, MBE® (Multistate Bar Exam), MPT® (Multistate Performance Test), MPRE® (Multistate Professional Responsibility Exam), Barbri, Themis, Quimbee, Kaplan, Adaptibar, UWorld, Westlaw, and LexisNexis.
All such references are for identification and educational comparison purposes only.No sponsorship, endorsement, affiliation, or partnership is implied or exists between Aqoryn and any of these third parties.
Aqoryn is NOT affiliated with, endorsed by, sponsored by, or associated with:
- The National Conference of Bar Examiners (NCBE) or any official bar admission authority
- Any American law school or law program
- Any state bar association or bar admission agency
- Any commercial bar prep provider or competing educational service
- Any law firm, legal technology company, or legal services provider
Aqoryn's references to third-party materials, services, or standards are made for comparative and educational purposes only and do not constitute an endorsement of those services or an assertion of equivalence or superiority.
Video Content Disclosure
The Service includes AI-generated micro-lesson videos featuring AI-generated avatars and synthetic narration. These videos are created using HeyGen technology, which generates realistic-appearing avatars through artificial intelligence.
The avatars and presenters in these videos are NOT real people.They are synthetic digital representations created by AI technology. These videos are not recordings of actual law professors, attorneys, legal educators, or subject matter experts.
Video content is provided for educational purposes and carries the same disclaimers as all other content on the Platform:
- Video content may contain errors or inaccuracies
- Video content is not legal advice and should not be relied upon as authoritative legal instruction
- AI-generated explanations should be independently verified against primary sources before reliance
By using the Service, you acknowledge and accept that educational videos feature synthetic, AI-generated presenters.
Third-Party Services
The Service integrates with and depends on various third-party service providers and platforms to deliver its functionality. These third-party services include:
- Supabase: Database, authentication, and backend infrastructure
- Stripe: Payment processing and subscription billing
- Anthropic Claude API: Qendrixa-powered features including Qendrixa study coach, essay feedback, and cold-call simulation
- Mux: Video hosting and streaming
- Vercel: Hosting and deployment infrastructure
- ElevenLabs: Text-to-speech synthesis (potential future integration)
Each of these third-party service providers has its own terms of service, privacy policies, and data handling practices. Your use of the Service constitutes your acceptance of these third-party terms to the extent they apply.
Aqoryn is not responsible for:
- Service interruptions, outages, or downtime caused by third-party providers
- Data loss, data breaches, or security incidents at third-party providers
- Changes to third-party services, pricing, or terms
- Quality, accuracy, or reliability of third-party services

Copyright Complaints (DMCA)
If you believe that any content on the Service infringes your copyright or the copyright of someone you represent, you may submit a notice of copyright infringement to Aqoryn.
To be effective, your copyright notice must include:
- Your name, address, telephone number, and email address
- A description of the copyrighted work you believe has been infringed
- A description of the specific material on the Service that you claim infringes your copyright
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner
- A statement, under penalty of perjury, that the information in your notice is accurate
- Your physical or electronic signature

Indemnification
You agree to indemnify, defend, and hold harmless Aqoryn, LLC and its respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service or violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Your breach of any representation, warranty, or obligation under these Terms
- Any claim that content you submitted to the Service infringes a third-party right
- Any unauthorized use of your account credentials
Aqoryn reserves the right to assume the defense of any claim subject to indemnification at your expense, provided that you cooperate fully in the defense and do not settle any claim without Aqoryn's prior written consent.
Termination
Termination by Aqoryn: Aqoryn may immediately suspend or terminate your account and your access to the Service, without notice or liability, if Aqoryn determines in its sole discretion that you have:
- Violated these Terms or the acceptable use policies
- Engaged in illegal or fraudulent activity
- Provided false information or misrepresented your eligibility
- Harassed, abused, or threatened other users or Aqoryn employees
- Compromised the security or integrity of the Service
- Used the Service for unauthorized commercial purposes
Termination by User: You may terminate your subscription and account at any time by logging into your account dashboard and selecting "Cancel Subscription," or by contacting support@aqoryn.com. Termination is effective at the end of your current billing period.
Effect of Termination: Upon termination or expiration of your subscription:
- Your access to the Service immediately ceases
- You are no longer permitted to view, access, or download any content
- Your account data may be retained or deleted at Aqoryn's discretion
- No refunds or credits are issued for partial months
Survival: Sections of these Terms that by their nature should survive termination will continue in effect, including but not limited to: Intellectual Property, Limitation of Liability, Indemnification, Disclaimers, and Governing Law.
Modifications to Terms
Aqoryn reserves the right to modify these Terms at any time. If Aqoryn makes material changes to these Terms, Aqoryn will notify you by:
- Sending you an email notification at the address associated with your account, OR
- Posting a prominent notice on the Platform
The notification will identify the material changes and the effective date of the updated Terms. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
The "Last Updated" date at the top of these Terms indicates the date of the most recent revision. Your continued use of the Service means you accept all changes. If you do not agree to any changes, your sole remedy is to stop using the Service and cancel your subscription.
Governing Law and Dispute Resolution
Governing Law: These Terms and your use of the Service are governed by and construed in accordance with the laws of the state where Aqoryn, LLC is organized, without regard to its conflict of law principles.
Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms, your use of the Service, or the relationship between you and Aqoryn shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with the AAA Arbitration Rules and Procedures.
You and Aqoryn agree that:
- The arbitration shall be conducted by a single neutral arbitrator
- Arbitration shall take place in the state where Aqoryn is organized, unless you and Aqoryn agree otherwise
- Each party shall pay its own attorneys' fees and costs, and an equal share of arbitrator and administrative fees
- The arbitrator shall issue a written decision including findings of fact and law
Class Action Waiver and Jury Trial Waiver: BY AGREEING TO THESE TERMS, YOU IRREVOCABLY WAIVE:
- Your right to participate in any class action, class arbitration, or representative action against Aqoryn
- Your right to a jury trial
- Your right to pursue claims in court (disputes must be resolved through binding arbitration)
Small Claims Court Exception: Notwithstanding the foregoing, you may bring a claim in small claims court in your county or jurisdiction if the claim qualifies for small claims court jurisdiction.
Severability
If any provision of these Terms is held to be unlawful, invalid, or unenforceable by a court or arbitrator, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed from these Terms.
The severance or modification of any provision shall not affect the validity or enforceability of any other provision, and all remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms of Service, together with Aqoryn's Privacy Policy, Disclaimer, Refund Policy, and any other terms posted on the Service, constitute the entire agreement between you and Aqoryn regarding the Service and supersede all prior negotiations, agreements, understandings, and representations, whether written or oral.
If any portion of these Terms conflicts with any other agreement or policy, these Terms of Service shall control.
